How DaVinca's Agreement Structure Works
DaVinca uses a two-document system designed to be fair, transparent, and flexible for every provider — regardless of trade or job size.
Document 1: Platform Membership Agreement
Signed once when you join DaVinca. Covers your independent contractor status, legal protections, vetting requirements, accountability standards, and anti-circumvention terms. Does NOT lock you into a specific fee on every job.
Document 2: Job Fee Confirmation
A short, one-page agreement generated for each matched job. Specifies the exact platform fee percentage for that specific project based on job size, scope, and category. Both parties agree before work begins.
This means you always know exactly what you're paying before you start a job — no surprises, no hidden fees, and no flat rate that doesn't fit your trade.
Document 1: Platform Membership Agreement
Signed once upon joining the DaVinca platform
This Platform Membership Agreement (the "Agreement") is entered into by and between DaVinca LLC, a Nevada Limited Liability Company ("DaVinca" or "Platform"), and the undersigned service provider ("Provider"). By submitting an application to the DaVinca platform, Provider agrees to be bound by the terms of this Agreement upon acceptance.
1. Nature of the Relationship
DaVinca operates a technology platform that connects consumers seeking real estate and property services with independent, third-party service providers.
DaVinca is strictly a technology and lead-generation platform. DaVinca is NOT a general contractor, employer, joint venturer, or partner of the Provider. The Provider operates as an independent contractor and maintains full control over how, when, and where they perform their services.
This classification is critical under California Assembly Bill 5 (AB5) and applicable independent contractor laws. Provider acknowledges they meet the criteria for independent contractor status under the ABC test or applicable exemptions.
2. Platform Service Fee — Per-Deal Model
DaVinca does not charge upfront subscription fees, monthly fees, or pay-per-lead fees. DaVinca operates on a success-based, per-deal model — Provider pays only when they get paid.
The specific Platform Service Fee for each job is agreed upon in a separate Job Fee Confirmation (Document 2) before work begins. Fee percentages are negotiated based on:
- Job size and scope — larger jobs earn lower percentages
- Service category — each trade has an industry-appropriate range
- Provider history — volume loyalty and founding provider status may reduce fees
General Fee Ranges by Category (for reference only — actual fees are set per job):

These ranges are guidelines. The actual fee for each job is agreed upon in the Job Fee Confirmation before work begins. DaVinca reserves the right to negotiate fees outside these ranges based on job complexity, market conditions, and provider relationship.
- No Hard Cap: Fees are proportional to job value. Larger jobs receive lower percentages, ensuring fairness at every scale.
- Scope Change Protection: If the scope of a job changes significantly after the initial Job Fee Confirmation, an amended confirmation will be issued reflecting the updated estimate.
- Volume Loyalty Discount: Providers completing 10+ DaVinca jobs per quarter may earn reduced rates on subsequent jobs.
- Founding Provider Rate: The first 20 providers per region receive a permanent 2–3% reduction below standard rates, locked for the life of their membership.
- Payment Terms: The Platform Service Fee is due within seven (7) days of the Provider receiving final payment from the consumer.
3. Provider Tiers & Requirements
DaVinca maintains two provider tiers, each with specific vetting and ongoing requirements:
Tier 1: Licensed Providers
Applies to: General Contractors, Roofers, Plumbers, Electricians, HVAC, Foundation Specialists, Pool Builders, and all state-licensed trades.
Required at all times:
- Active state contractor's license (e.g., CSLB in California)
- General Liability Insurance — tiered by risk level:

Tier 2: DaVinca Verified Service Providers
Applies to: Photographers, Drone Operators, Cleaning Companies, Home Stagers, Junk Removal, Interior Designers, Painters, Handymen, Virtual Tour Creators, and other non-state-licensed real estate service professionals.
DaVinca's philosophy for Tier 2 providers is simple: great work, verified identity, and a safe experience for every consumer. We do not believe in creating unnecessary barriers for talented professionals. Requirements are designed to be achievable, transparent, and proportionate to the nature of each service.
Core Requirements (all Tier 2 providers):
- Successful completion of DaVinca background check — including criminal history, identity verification, and sex offender registry check. (Providers entering occupied residential properties are subject to enhanced screening.)
- Successful completion of DaVinca personal interview
- Portfolio or proof of past work demonstrating quality and experience
- W-9 on file with DaVinca
Insurance — Encouraged, Tiered by Risk:
General Liability insurance is strongly encouraged for all Tier 2 providers and required for those performing physical work in or around occupied properties. Providers without insurance may still qualify for the platform at DaVinca's discretion, subject to service type and consumer consent.

Certifications — Optional but Valued:
DaVinca does not require trade-specific certifications as a condition of joining the platform. However, providers who hold relevant credentials (e.g., FAA Part 107 Remote Pilot Certificate for drone operators, IICRC for cleaning professionals) are encouraged to submit them. Verified credentials are displayed on the provider's DaVinca profile as a trust signal to consumers.
Business License — Required:
A valid local or city business license is required for all Tier 2 providers. A business license is a simple city or county permit — it is not the same as forming an LLC. Most providers can obtain one online in 1–3 business days for a nominal fee (typically $15–$100/year depending on your city).
Don't have a business license yet? Here's how to get one:
- Find your city's business license portal — Search "[Your City] business license" online. Most California cities have an online portal (e.g., Los Angeles: finance.lacity.org, San Bernardino County: sbcounty.gov).
- Fill out the application — You'll need your name, address, business type (e.g., "Photography Services" or "Cleaning Services"), and a government-issued ID.
- Pay the fee — Typically $15–$100 depending on your city. Most accept credit/debit cards online.
- Receive your license — Most cities issue a confirmation immediately or within 1–3 business days. Upload a copy to your DaVinca provider profile.
Note: A business license is simply a permit to operate — it does not require you to form an LLC or change how you work. Sole proprietors qualify.
This document is structured for paralegal review. Requirements are subject to change and will be communicated to providers in advance of any updates.
4. Consumer Interaction & Liability
- Direct Contracts: Provider will enter into a direct contract with the consumer for the performance of work. DaVinca is NOT a party to that contract.
- Sole Liability: Provider is solely responsible for the quality, safety, and legality of all work performed. Provider assumes all risk of loss, damage, or injury arising from their services.
- Indemnification: Provider agrees to indemnify, defend, and hold harmless DaVinca LLC, its members, officers, employees, and agents from and against any and all claims, damages, lawsuits, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Provider's work, actions, omissions, or negligence.
- Insurance as Primary: Provider's insurance shall be primary and non-contributory in the event of any claim. Provider agrees to list DaVinca LLC as an Additional Insured on their General Liability policy upon request.
5. Accountability & Strike System
Provider acknowledges that DaVinca maintains a structured accountability system to protect consumers and platform integrity:
- Warning: First verified consumer complaint — Provider is notified and placed on internal watch.
- Strike 1: Second complaint or one serious issue — profile flagged, reduced visibility for 30 days.
- Strike 2: Third complaint or pattern of issues — suspended for 90 days, must pass re-interview to reinstate.
- Strike 3: Continued issues or single severe incident — permanently removed from DaVinca.
Severe incidents (property damage, theft, no-show on paid work, harassment, fraud, credential misrepresentation) may result in immediate permanent removal without prior warnings.
DaVinca's accountability decisions are made at DaVinca's sole discretion and are final. This system is an internal quality-control mechanism, not a legal adjudication process.
6. Credential Maintenance & Lapse
If any required credential (license, insurance, bond, certification) lapses, expires, or is revoked:
- Provider must notify DaVinca within 48 hours.
- Provider will be immediately suspended from receiving matches until credentials are reinstated.
- Failure to disclose a lapse is grounds for permanent removal.
- DaVinca reserves the right to conduct periodic audits of Provider credentials.
7. Anti-Circumvention & Platform Protection
Provider acknowledges that DaVinca invests significant resources into marketing, vetting, and matching consumers with providers:
- 24-Month Protection Period: For twenty-four (24) months following the initial match, any subsequent work for the same Consumer or at the same property address is subject to a Platform Service Fee as agreed in a new Job Fee Confirmation.
- Prohibition on Direct Solicitation: Provider shall not solicit or accept direct payment from a DaVinca-matched Consumer outside of approved channels during the Protection Period.
- Reporting Requirement: If a DaVinca-matched Consumer contacts Provider directly for subsequent work, Provider must report the new job to DaVinca within 48 hours.
- Penalties: Violation results in immediate permanent removal, forfeiture of platform status, and a penalty fee equal to 2x the estimated Platform Service Fee that was circumvented.
8. Dispute Resolution
Any dispute arising under this Agreement shall be resolved through binding arbitration in Clark County, Nevada, administered by JAMS or AAA. Both parties waive the right to a jury trial or class-action proceeding. This arbitration clause shall survive termination of this Agreement. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
9. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination: (a) Provider remains obligated to pay any outstanding Platform Service Fees for jobs covered by executed Job Fee Confirmations, (b) the Anti-Circumvention clause (Section 7) survives for 24 months from each consumer introduction, and (c) the Indemnification clause (Section 4) survives indefinitely for claims arising during the term.
10. Governing Law
This Agreement shall be governed by the laws of the State of Nevada. Provider consents to personal jurisdiction in Clark County, Nevada for any proceedings not subject to arbitration.
Document 2: Job Fee Confirmation
Executed for each matched job — one page, clear terms
Each time DaVinca matches a Provider with a Consumer, a Job Fee Confirmation is generated and signed by both DaVinca and the Provider before work begins. This document contains:
Job Details:
- Consumer name or reference ID
- Property address
- Scope of work description
- Estimated job value
Fee Terms:
- Agreed platform fee percentage for this job
- Estimated fee amount in dollars
- Payment due date (7 days after final payment)
- Scope change amendment process
Scope Change Clause: If the consumer expands the project scope (e.g., a roof repair becomes a full remodel), the Provider must notify DaVinca within 48 hours. An amended Job Fee Confirmation will be issued reflecting the updated job value and fee percentage. The amended percentage may be lower than the original if the job value increases significantly.
No Confirmation = No Fee Obligation: A Provider is never obligated to pay a Platform Service Fee for a job that does not have a signed Job Fee Confirmation, except in cases of anti-circumvention violations (Section 7 of the Membership Agreement).
